Welcome to ThermoLive. These Terms of Service ("Terms") govern your access to and use of the ThermoLive website, services, and applications (the "Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

• You are responsible for safeguarding the password that you use to access the Service.
• You agree not to disclose your password to any third party.
• You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Acceptable Use

You agree not to use the Service for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Service.

• You shall not use the Service to upload or enter fraudulent donation data.
• You shall not attempt to interfere with the proper working of the Service.
• You shall not use the Service for any illegal or unauthorized purpose.

4. Order Process & Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

5. Payments and Subscriptions

ThermoLive is offered as a Software-as-a-Service (SaaS) subscription. By subscribing, you agree to pay the fees associated with your chosen plan. All payments are securely processed by Paddle.com. Subscriptions automatically renew unless canceled prior to the end of the current billing cycle. You may cancel your subscription at any time through your account dashboard or by contacting support.

Disclaimer regarding donations: ThermoLive provides a software license for a visual data display tool. We do not act as a payment gateway, payment processor, or merchant of record for any donations, pledges, or transactions made between you and your donors. You are entirely responsible for processing 100% of your donations through your own separate payment providers.

6. Refund Policy

ThermoLive offers a 14-day money-back guarantee strictly for initial subscription purchases, provided the Service has not been substantially utilized. All refunds are processed by our Merchant of Record, Paddle.com.

Exceptions: Because our platform is largely utilized for time-sensitive, live events, we cannot offer refunds under the following conditions:

• The 14-day window has expired.
• Your live fundraising event has already taken place while the subscription was active.
• The platform was substantially utilized (e.g., a significant number of donations or pledges were processed during a live campaign).

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of ThermoLive and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ThermoLive.

8. Limitation of Liability

In no event shall ThermoLive, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
